The undersigned has read this waiver and release and fully accepts the CITY discretion and non-liability as
stipulated herein, and expressly for, but not limited to, CITY’s decision to proceed with a qualification-based selection process in response to the Request for Qualifications (RFQ) to select a firm to supply

A. Discretion of CITY: The firm or individual submitting a response to this CM/GC RFQ agrees that CITY has the right to, unless contrary to applicable state law:
1) Modify or suspend any and all aspects of the process seeking SOQs and making any
decisions concerning this RFQ. 2) Obtain further information from any person, entity, or group regarding the
Respondent, and to ascertain the depth of Respondent’s capability and experience for supplying CM/GC services and in any and all other respects to meet with and consult
with any Respondent or any other person, entity, or group;
3) Waive any formalities or defects as to form, procedure, or content with respect to
CITY’s RFQ to select a CM/GC firm and any response by any Respondent thereto;
4) Accept or reject any sealed SOQs received in response to the RFQ, including any sealed

Headwaters Construction Company is an industry
leading Construction Manager, General Contractor,
and Design-Builder located in Rexburg, Idaho.
Headwaters was founded in March of 2003 in beautiful
Teton Valley, Idaho. Headwaters initially specialized
in building high-end, resort-style homes. Within a
few years, Headwaters transitioned to building more
commercial-type projects and by 2007 were listed

United States. In 2008, Headwaters opened a Rexburg

OUR MISSION IN ACTION
Madison School District No. 321 selected Headwaters Construction Company to
complete various projects as part of their 2018 bond. These projects included additions
and renovations to four elementary schools, HVAC upgrades at the middle school and
two additions to Madison High School. The project also included a high school sports
complex, complete with indoor fieldhouse. After working with Headwaters, Madison
School District decided to continue the relationship when more construction was
needed as part of a 2022 bond. Headwaters recently finished building a new elementary
school in Hibbard and a junior high school addition and renovation, and we look forward
to future work with Madison School District.

BASIC CONSTRUCTION MANAGEMENT TECHNIQUES AND
METHODS
From preconstruction through warranty, construction management
is a balancing act of budget, schedule, and quality. Balancing these
factors is especially important as it pertains to the City’s needs and
expectations. We will manage your project so that it is completed
within budget, on schedule, and to a high level of quality.
Over the last 15 years, we have worked with private clients on
over 90 CM/GC projects. One main component to CM/GC is the
early involvement of the Contractor during design. This is critical
to ensuring that program, scope, and design are congruent with
the project’s budget. Headwaters is committed to providing very
detailed estimates throughout the entire preconstruction phase,
ensuring your budget will be met.
As the CM/GC, Headwaters will also take the lead on ensuring
that the construction schedule for this project matches with
the deadlines set forth by the City and the expectations of the
community. We know that it is crucial to build the police station
according to or ahead of schedule so that the officers can begin
to utilize the facility as soon as possible. Headwaters is committed

EARLY ACCURATE ESTIMATES
As a CM/GC, we prioritize providing early, accurate estimates
to establish a strong financial foundation for the project. Using a
combination of historical cost data, current market trends, and our
extensive experience, we develop detailed estimates during the
conceptual design phase. These estimates are continually refined at
each design milestone (SD, DD, CD) to reflect scope adjustments,
material selections, and updated pricing information. By maintaining a
proactive focus on cost analysis and leveraging advanced estimating
software, we deliver reliable budgets that help guide decision-making
and minimize financial risks throughout the project lifecycle.
OPTION STUDIES
Option studies are the heart of how Headwaters addresses value
analysis during preconstruction. Option studies cover a broad array of
topics: from the site to structural systems; availability of materials and
labor; time requirements for procurement, installation and construction;
selection of materials, building systems, and equipment; factors related
to construction cost, and anything else that the Design Team and
Owner would like to understand more clearly from a quality, schedule,
or cost standpoint. All option studies will be presented in a professional
manner and will serve as a great resource throughout the design

CONSTRUCTABILITY REVIEWS
Headwaters actively engages with the Design Team during plan
refinement through 3D plan review, pictured to the left, offering
insights into materials and methods to achieve the desired design
concept. We suggest alternative materials and procedures and lead
the constructability review process with a detailed, evolving checklist
based on lessons learned from previous projects. This approach
identifies potential cost and schedule impacts early. Our process also
incorporates subcontractor availability and capacity, a crucial factor in
Eastern Idaho, where technical trades are limited. Our estimating team
ensures qualified subcontractors are identified for the work.

WEEKLY OWNER, ARCHITECT, CONTRACTOR (OAC) MEETINGS
Our project team will conduct regularly scheduled status meetings
following a predetermined agenda that will keep all stakeholders
properly informed. This forum will be the mainstay to effectively manage
and resolve issues or challenges. Three-week look ahead schedules will
be completed prior to these meetings and then shared, discussed, and
approved by the entire Project Team. Headwaters’ project engineer
will be responsible for keeping minutes at these meetings and will
promptly prepare and distribute the minutes following the meeting.
This structured approach ensures clear communication, accountability,
and alignment among all project stakeholders.
SUBCONTRACTOR BID MANAGEMENT
Using SmartBid, an online construction bid software, we prequalify
subcontractors, distribute bid invitations, and centralize project
documentation, while continuously expanding our network to include
qualified local subcontractors. We ensure project documents are
complete, scopes are well-defined, and bid responses are evaluated to
compare “apples to apples.” Our estimating team thoroughly reviews
bids for responsiveness and qualifications, meeting with subcontractors
as needed to clarify scopes and ensure compliance. Transparent and
collaborative, our process protects The City’s interests, addressing
discrepancies to secure fair, accurate pricing and successful project
delivery.
CONSTRUCTION PHASE
VALUE ENGINEERING
If left unchecked, scope can naturally evolve and creep, leading to
budget overruns that need to be addressed prior to further document
development. Headwaters takes a proactive approach to Value
Engineering. We keep a running VE Log or what we call our “Path to
Budget” throughout the design phase, pictured to the right. If, during
certain milestones of the construction process, opportunities arise to
buy back quality and program, the team can easily prioritize their needs
and wants because those items have be tracked since the beginning.
Often times we will even bid certain items on the VE Log as alternates
during the bidding phase. This locks in pricing and streamlines the
process if those alternates fit within the budget later on in the project.

SUBCONTRACTOR FAIR
If needed, Headwaters will hold a Subcontractor Fair or Open House and
will invite all local subcontractors to come and learn about the project as
well as the CM/GC process. Headwaters held one of these events for the
Madison School Bond Projects and over 65 people attended the event.

SAFETY
Headwaters is committed to the health and safety of all employees,
subcontractors, and the general public. We strongly believe that Safety
starts with the realization that the health and safety of individuals is more
important than any other aspect in construction. The total prevention
of injuries or accidents is our company’s major responsibility. Our
safety plan emphasizes proactive risk management and a culture of
safety across all project phases. By conducting comprehensive safety
training, regular site inspections, and enforcing compliance with OSHA
standards, we ensure a safe work environment for all team members,
subcontractors, and stakeholders.

WARRANTY PROGRAM
We are committed to you before construction, during construction,
and long after construction is complete. During Post Construction, the
warranty begins and our process is simple, efficient, and should provide
the City with complete peace of mind. We ensure:
Subcontract Agreements: Subcontract Agreements are explicit
in describing warranty responsibilities for the subcontractors. This
eliminates issues when they are called to action.
Local and Always Available: Headwaters will comply fully with our
responsibilities outlined in the contract. Additionally, we are local and
available 24 hours a day, 7 days a week and we will answer your call.
PROJECT CLOSEOUT
Closeout starts at the beginning of the project with proper submittal
review. Submittal review and approval contractually identifies the
systems, products and equipment that will be installed in the project.
Our project engineers use this information to compile all product data
and warranty information that will be included in the final Operations
and Maintenance (O&M) Manual. Also included is a Matterport 3D scan,
pictured to the left. One critical component of closeout that must
be completed at the end of the project is the punch list process.
Headwaters utilizes an electronic punch list process through Procore.
This process streamlines and better communicates the punch list items,
ensuring they can be addressed thoroughly and promptly.

Procore allows for better communication and collaboration among all team

QUALITY CONTROL
Quality control is essential to delivering high-quality materials,
workmanship, and adherence to project standards. Our process includes
pre-construction meetings, mock-ups, and inspections to ensure quality
at every stage. Pre-construction meetings align subcontractors with
quality expectations before work begins. Mock-ups and sample boards
help the project team visualize the final product, resolve material
conflicts, and establish quality practices. Inspections are conducted
in three phases to maintain standards: preparatory inspections verify
readiness and address discrepancies, initial inspections assess early
workmanship and materials, and follow-up inspections monitor ongoing

Monthly Progress Reports: Headwaters will compile and submit
Monthly Progress Reports as required by the project, included within
monthly reports are progress photos, RFI and Submittal Reports, as well
as general project progress update.
Daily Reports/Log: Our superintendent complete daily logs that can
be accessed through Procore. These reports will include: the date,
weather information, schedule information, subcontractors on site
and other manpower related information, equipment on site, safety

PRECONSTRUCTION PHASE
Provide Estimates with High Level of Detail: No matter what stage
of the project, our responsibility as the CM/GC is to provide a very
high level of detail in our estimates so that the team can make critical
decisions with really good information. If as the CM/GC we just sit
back and wait for the Construction Documents to be issued before
we provide meaningful information, the budget goals will not be met.
Our pre-construction team provides a constant, high level of detail at
every stage of the project. This concept will be particularly important
on this project as we work through programing to validate current
estimates and establish budgets for the project.
Maintain a Living Estimate: The estimate must be a living document.
Throughout the entire design phase, constant communication
between the CM/GC and Design Team is critical to successful
budget control. As the design informs the estimate, the estimate
in turn informs the design; they work in tandem so that scope and
budget are always in line. Estimates at design milestones alone are
not enough to reach a best value GMP. While our Preconstruction
team will provide milestone estimates as required in the contract, we
view these estimates as validation to the constant communication
and feedback that takes place on a daily basis.
Value Engineering: Through collaborative communication with the
design team and stakeholders, we identify cost-saving opportunities
while maintaining or enhancing project functionality and quality. This
includes evaluating alternative materials, construction methods, and
system designs, prioritizing decisions that optimize both short-term
costs and long-term operational efficiency.
Bid Package Development: We prepare well-defined bid packages
that segment the project scope into manageable components. Each
package is carefully crafted to maximize market competitiveness,
avoid overlap, and capture all necessary work, ensuring accurate
pricing and reduced risk of scope gaps or redundancy.
CONSTRUCTION PHASE
Line-Item Tracking: A detailed budget breakdown by bid package, line
item, and cost category is maintained. This includes tracking construction
costs, CM fees, permits, reimbursable expenses, and any allowances. Line-
item tracking provides immediate visibility into financial performance
and helps identify and address potential budget variances early.
Change Management: All potential changes are documented, reviewed,
and analyzed for their financial and schedule impact. Our rigorous
process includes detailed cost breakdowns, alternative options, and
recommendations, followed by stakeholder review and approval.
This disciplined approach minimizes unnecessary costs and mitigates
unforeseen budget impacts.
Monthly Cost Reporting: We provide comprehensive and transparent
financial reports at regular intervals, typically on a monthly basis. These
reports include detailed summaries of committed costs, incurred
expenses, remaining budget, and projected cash flow. Variance analyses
are conducted to compare actual costs against the baseline budget,
ensuring stakeholders have a clear understanding of project financial
health.
CLOSEOUT PHASE
Final Reconciliation: At project completion, we perform a full
reconciliation of all project costs. A final cost report is prepared,
breaking down expenditures by bid package, category, and line item.
This ensures complete transparency and provides a clear record for
future reference. Our closeout process also includes the resolution of
any outstanding financial issues, such as final payments and retention
releases.
By integrating detailed planning, active monitoring, and transparent
reporting, our budget control strategy ensures financial accountability
throughout every phase of the project. This approach fosters confidence
and trust while delivering high-quality results within established financial
parameters.

Thunder Ridge High School: Headwaters was selected to lead a complex, fast-tracked project requiring careful scheduling and coordination to
deliver results on time. To meet an ambitious timeline, we implemented a phased construction approach with multiple Guaranteed Maximum Price
(GMP) packages. This method allowed construction to begin on critical elements before the overall design was finalized, ensuring continuous
progress. By strategically overlapping design and construction phases, we minimized delays and maintained momentum, even with evolving
project requirements. Our approach focused on building a detailed, aggressive schedule. Regular updates and milestone tracking ensured the
project stayed on target, and any challenges were addressed swiftly. These same principles of phased construction and simeoultaneous design
and construction can be applied to your police station project if ever needed. We can assure you that we will deliver your project on or ahead of

Description: The St. Anthony Work Camp Expansion project,
built for the Idaho Department of Corrections in St. Anthony,
Idaho includes the new construction of a 13,400-square-foot
expansion to the southern portion of the existing building.
The expansion includes the addition of dorms and 100
beds that cover two stories. The project also includes a
second recreation center addition, constructed using a pre-
engineered metal building. Classic red brick was used for the
exterior part of the expansion as well. A new cafeteria was
built in addition to an expansion to the medical area of the
facility.

Description: This project, constructed with CORE, included
the new construction of a two-story, 16,000-square-foot fire
station in Ketchum, ID. The station features a decontamination
room, shop and work spaces, additional locker space, a fire
riser room and storage, administrative offices, public meeting
and community rooms, a radio room, and an elevator. It also
houses a vehicle storage bay for fire trucks, ambulances, and
brush trucks. The site consists mainly of concrete paving and
features hydronic snow melt. The fire station was constructed
on a spread footing foundation with a concrete masonry unit
and conventional steel structural frame, a brick veneer, metal
panel and concrete masonry unit exterior, and a TPO roof.
