THIS TRUST AGREEMENT, Made thisday of January,
1994, between Mary G. Shirley, of 858 W. 2000 N., Rexburg, ID
83440, hereinafter called "Grantor", and Mack G. Shirley, of 919 W.
1500 N., Rexburg, ID 83440, and Bruce L. Shirley, of 2328 N. 1000
W., Rexburg, ID 83440, hereinafter called "Trustees",

WITNESSETH:
1. Trust Property.
Grantor, without consideration, does hereby grant,
convey, transfer and deliver unto Trustees, and Trustees agree to
hold, manage, administer and distribute, pursuant to this trust
agreement, the following described property, to -wit:
A. Real Property
Madison Countv, Idaho
Commencing at the Southwest corner of Section 7, Township
6 North, Range 40 East, Boise Meridian, and running
thence North 0115'23" West along the West line of said
Section 7 a distance of 56.28 feet, thence Northeasterly
along a 8474.37 foot radius curve right 212.20 feet,
thence North 53°55133" East 1418.0 feet, more or less, to
a point in the East line of Government Lot 4, of said
Section 7, Township and Range aforesaid, thence South to
a point on the South bank of the Teton Island Canal,
being 960 feet, more or less, North of the Southeast
corner of Lot 4 (SW1/4SW1/4) thence Southwesterly along
said South bank of said canal to a point 265 feet West of
the East line of said Lot 4, thence South 765 feet, more
or less, to the South line of said Lot 4, thence West to
the' point of beginning.
Reserving to Grantor a life estate in and to the home
located upon the above described premises, subject to her
paying any taxes assessed thereon, and said life estate
to terminate upon her death and the recording of her
death certificate in Madison County, Idaho.
