THIS INDENTURE, made this 2� day of , 2008, between MBP Industries LC ( 50 % ),
having as it's mailing address 3659 Mooncrest Circle, Las gas, Nevada; E & L Mohler 2005 ( 12 % ); R & C Tyre
Living Trust ( 10% ); David B. Paxman Living Trust (10 % ); Gifford 1973 Trust ( 8.5% ): S & A Peterson 1997 Trust
( 6% ); and James R. Bullock and Debra N. Bullock (3.5% ); (all of which are undivided interests), hereinafter
referred to as the Party of the First Part and the City of Rexburg, a municipal corporation of the State of Idaho, of 12
North Center Street, Rexburg, Madison County, Idaho, hereinafter referred to as the Party of the Second Part,
WITNESSETH:
That the said Party of the First Part, having been duly authorized pursuant to a resolution passed by a majority
vote of the Rexburg City Council and for other good and valuable consideration, to the Party of the First Part in hand
paid by the Party of the Second Part, the receipt whereof is hereby acknowledged, has granted, bargained, sold, and by
these presents, does grant, bargain, sell and convey and confirm unto the said Party of the Second Part, and to the Party
of the Second Part's heirs and assigns, forever, all of the following described real estate:

A PORTION OF 7" SOUTH
CITY OF REXBURG
A PUBLIC ROAD RIGHT OF WAY AND A PUBLIC UTILITY RIGHT OF WAY, SAID RIGHTS OF
WAY BEING A SINGLE CONTINUOUS STRIP OF LAND 100.00 FEET WIDE, THE SIDE LINES OF
WHICH ARE 50.00 FEET ON EITHER SIDE OF THE FOLLOWING DESCRIBED CENTERLINE:
TOWNSHIP 6 NORTH, RANGE 40 EAST, BOISE MERIDIAN, MADISON COUNTY, IDAHO.
SECTION 29: A PORTION OF THE SOUTHWEST QUARTER,
SECTION 32: A PORTION OF THE NORTHWEST QUARTER, THE
AFORESAID CENTERLINE BEING MORE PARTICULARLY
DESCRIBED AS FOLLOWS:
BEGINNING AT THE SOUTHWEST CORNER OF SAID SECTION 29, BEING ALSO THE
NORTHWEST CORNER OF SAID SECTION 32, MARKED BY A BRASS CAP, AND RUNNING
THENCE ALONG THE LINE COMMON TO SAID SECTIONS NORTH 89°43'54" EAST 1845.19 FEET
TO THE POINT OF BEGINNING. SAID POINT OF BEGINNING IS ALSO DESCRIBED AS
FOLLOWS, A POINT THEREON BEARING SOUTH 89°43'54" WEST 804.33 FEET FROM THE 5/8"
REBAR MARKING THE QUARTER CORNER COMMON TO SAID SECTIONS 29 AND 32;
THENCE SOUTHEASTERLY ALONG A TANGENT CURVE TO THE RIGHT HAVING A RADIUS
OF 700.00 FEET, A CENTRAL ANGLE OF 43-14'00", AN ARC LENGTH OF 528.19 FEET, A CHORD
LENGTH OF 515.75 FEET AND A CHORD BEARING OF SOUTH 68°39'06" EAST;
THENCE SOUTH 47°02'06" EAST 191.93 FEET;
THENCE SOUTHEASTERLY ALONG A TANGENT CURVE TO THE LEFT HAVING A RADIUS OF
700.00 FEET, A CENTRAL ANGLE OF 18-15'00", AN ARC LENGTH OF 222.97 FEET, A CHORD
LENGTH OF 222.02 FEET, AND A CHORD BEARING OF SOUTH 56°09'36" EAST TO A POINT ON
THE EAST LINE OF THE AFORESAID NORTHWEST QUARTER OF SECTION 32 WHICH BEARS
SOUTH 0°07'00" EAST 445.97 FEET FROM SAID QUARTER CORNER COMMON TO SECTIONS 29
AND 32.
TOGETHER WITH A TEMPORARY CONSTRUCTION EASEMENT EXTENDING 65.00 FEET ON
EACH SIDE OF THE HEREINABOVE DESCRIBED CENTERLINE, SAID EASEMENT TO BEGIN
IMMEDIATELY AND TO TERMINATE AT A TIME MUTUALLY ACCEPTABLE TO THE GRANTEE
AND THE GRANTOR.
Together with all and singular the tenements, hereditaments and appurtenances thereunto belonging or in
anywise appertaining, and the reversion and reversions, remainder and remainders, and rents, issues and profits thereof,
TO HAVE AND TO HOLD, all and singular, the said premises, together with the appurtenances, unto the
said Party of the Second Part, and to their heirs and assigns forever.
