There are some large concrete irrigation headgates at the north alt corner of development that control the water flow t the two irrigatlon ditches..Mountain River Engineers/Surveyors acquIred sone of the topographic information when they wee e preparl-ng the plan for the street grades ,I' -n front of the Brenchley P-partments. Your Engineer/surveyor can get this information from them and will have to locate the remaining items and -show them an your site plan. Street facilities should include the corner connections to 4th West as shown on the returned plans. 4. WATERLINES As shown on the returned plans, there is already611 water maim in SthSouth across your developments frontage. 'there are no closelyadjacent in hydrants. Our Fire Chief feels that a fire hydrant is needed at the entrance to your westerly driveway and a second one back nearer the center of yourr development and having access from the easterly driveway. See attached plans for suggested locations. The water meter assembly l have to have a 11 by pass meter to pick up low f lows SANITARY SEWER As indicated on the attached plans,, we feel the two main inter for sewers shoiald be 811 diameter and need manholes on their southerly ends so the lines can be rodded n cleaned with the available sewer clewing equipment. 6 PARKING LOTS The westerly part of the development (Phase I) has the required 68 parking spaces. The parties agree that those portions of the wader main, section work the sanitary sewer Ione, storm drains and street (hereafter callectively referred to as the ''Shand Work"), the cast of which the City has expressly agreed to pay pursuant to the Special Conditions, including any water or sewer dine or storm line extensians, increased l -R ine size or capacity and goad width or thickness, ars required because of future service needs orig-inating from properties not awned by Developer and located within the vi"cinity of the Development and that sound planning requires construction thereof at the present time in order to accommodate future expansion and development. In recognition of the cyst savings which can be accomplished by construction of such eYC255 capacity and improvements concurrently with the Facilities to be constructed for DeveloperFs purposes, and the impracticality or impossibility of constructing such excess capacity and improvements separately or at a later time, Developer agrees to design and construct such facilities subject to the City's agreement to reimburse Developer for a portion of such casts, all as set forth, in the Special Conditions. Prion to the commencement of the Shared Work., Developer shall obtain and deliver to the City three independent barna fide fids for the performance of such work from qualified and responsible cantra.ctors . Such bids shall be solicited and itemized in a manner which allows dear and specific identification of that portion of the construction work for whish the City is responsible. The City shall have no obligation to pay dor any portion of the costs of the Shared work unless prior to the commencement of the work the parties have expressly agreed in writing to a specific amount for which the City will reimburse the Developer. Payment of such costs by the City shall be due within thirty (30) days from acceptance of the Development by the City and dehvery of an itemized statement to the City setting forth in detail the total amount of the costs dor which the City �s responsible . 17. SPECIAL CONDITIONS. In recobniiion of the unique circumstances relative to this Development the parties agree to the Special Conditions attached hereto and by this reference mace a part hereof. 18-6 'OCCUPANCY. No build"ng within the Development shad be used or occupied for any purpose other than for the construction of such building or structure, unless all public improvements within the Development have been carnpleted and accepted by the City Engineer. The City may withhold Certificates of occupancy until all such work has been completed, 19 . DEFAULT. In the event Developer fails to comply with the berms and conditions hereof in any material respect, the City may withhold the issuance of any building permits, certificates of occupancy or the connection of water or sewer service to any property awned by Developer and located within the Development, until such default is fuller corrected . 20. NOTICES . Any notice required by this Agreement shall be maned to the receiving darty at the address sed forth above or such other address as may be delivered to the sending party in writing, Such notice shall be mailed by certified mail, return receipt requested, postage prepaid and addressed as set forth move and shall be deemed received upon its deposit in the United States mail in such manner. 21* RECORDING FEES. Prior to the approval of the Development by the City Eng�neer, Developer shalI, pay to the pity all retarding fees necessary to record this Agreement with the Madison County Recorder's office . 22. IRRIGATION DISTRICT RELEASE.- friar to the final approval of the Development, Developer shad obtain a certification from any irrigation district, canal cornpany, ditch a55dCi3tiC]n or other similar water delivery entity who provides or delivers water to any properly located within the Development or who provides water through a facility passing through the Development . Thi's Agreement shall be governed by the Taws of the State of Idaho. The venue for any action arising out of this � � w Agreement shall be exclusively in the District Court of the 7th Judicial � District of the State of Idaho, Madison County, or in the United Sates4C r District Court for the District of Idaho. 40 27. ENTIRE AGREEMENT. This writing evidences the final and complete agreement between the parties and no other prior statement, representation or understanding shall be binding upon the parties unless expressly set forth herein., 28. SEVERABILITY. If any provisi.an of this Agreement is determined to be invalid or illegal, the remainder of the Agreement shall not be affected. 29. WAIVER.. Waiver by the City of any breach of any term, covenant or condition shall not be deemed to be a waiver of that term, covenant or condition or any subsequent breach of zt or any other term covenant or condition.
