Idaho, (hereinafter known as Lessors), and LONE BUGLE LLC (hereinafter kn 1111in as
Lessee), residing at 259 N 2ND E!, REXBURG ID 83440;
Recitals
1. Lessors are the legal owners of certain real property knower as the Rexburg -Madison County
MunicipalAir-port (hereinafter known as Airport);
Z. Lessors operate the Airport for the benefit of the community, and those desiring to visit the
cammunity, and as a general rule, allow portions of tie Airport to be leased for private use i�
Connection with the community purposes sewed by the Airport;
3. Lessee is desirous of leasing a portion of the Airport for the purpose of constructing a
structure and accessing said Airport consistent with its intended purpose;
NSW THEREFORE, in consideration of the mutual promises and upon the terms and
subject to the condxtions set forth herein., the par -ties hereto agree as follows:
Aueement
1. Access to Airport: Lessors agree to allow Lessee general access to the Airport common
areas, and exclusive use of that portion of the Airport known as Lot NlA for the purpose of
erecting or owning a structure to be used as a hangar, all such access to be consistent with,
and in accordance with any and all policies and procedures as they may now exist, or may
from time to time be promulgated by the Airport hoard or its successors.
2. Term: The term of this agreement shah commerce on the 0 15` day of January, 2006, and run
throughthe 31st day of December, 2006.
3. Renewal: This agreement shall be automatically renewed for as many as . 20 One (i) year
periods upon the same terms and conditions (with the exception of rental fees, which maybe
raised at the discretion of the Airport Board as much as tern percent (10% per year), unless
ether of the parties hereto gives written notice to the other party of the indention to terminate
the lease at the end of the current terna, s�.id nonce to be, liven no layer than thirty (30) days

4•A1lawed Uses: The Lessee agrees notto use opermit the use of,, the area which is the
subject of this agreement for any purpose other than the construction and maintenance- of a
hangar and/or the storage of aircraft

5. Airport Rules,* The Lessee agrees to comply wimth any and all rules, regulations, policies or
procedures which may now exist, or may from time tv time, be promulgated by the Airport
Board or its successors, Including but not limited io matters relating to rental fees:, use fees,
maintenance fees, snow removal fees or compliance with any other local, stake, or federal
rules, and regulations. ire the event a change in such rules, reg-ulations, policies or procedures
occurs during a term of this ag-reernent, the parties hereto shall have the authority to terminate
the lease notice to the other party of the intention to do so as a responseo the changes, Said
termination shall take effect ten (10) days after notice is served upon the other. arty

6. Termination:
Upon the termination of this agreement for any reason provided for pursuant
to its berms, the Lessee shall have thirty (30) days to remove, any improvementsstructural nature which were accompl- of a
ished at the request and cost of the Lessee, Unriless other
arrangements have been reached in. wnting. At the end of the thirty (30) days,.,the structures,
as well as any and all real property remaining upon the leased property, shall become the
property of the Lessors. Lessee shall have all rights granted pursuant to law to remove the
personal property located upon the leased property.
7. Insurance: Lessee shall be responsible for Providing proof of insurance to the Lessors,, or
their designated agent. Said insurance must reflect liabilityor greater than $ 1 010 coverage in an amount equal to
,000. Proof of such insurance may be provided in accordance with the
Policies or the Airport Board or zts successors.
8. Rental Fee: The Lessee agrees to pay Two hundred n i'.-nety-four ($294) per year for the leaped
property, a proportional amount to be paid in advance of the execution date of this
agreement, and then on, or before January 1, of each successive year thereafter. Notice of any
increase will be sent out prior to December 15 of the year Immediately preceding the year in
which lot is to take effect.,
9. Late Fee: A late fee of 1 0% of the rental fere s h- a11 be assessed for any payment not received
within fifteen (15) days ofthe due date. Failure to Pay the rental fee, late fee,, and any other
fees assessed within thirty (3 p} days of notice having been given'. shall result in terminatxon
of the agreement, and the Lessors shall have all rights and remedies pursuant to the laws of
Idaho for collection of the debt owed under this agreement,

10. Pry erty Maintenance: Lessee agrees too maintain the leased property
in accordance with all
rules, regulations, policies and procedures, and to maintain the, same in a neat and orderly
manner. Lessee further agrees to maintain that area immediately adjacent to (within 1 0 feet)
the leased property free from any obstruction, including items which may have, been
deposited there through forces of nature, I passers-by.
it. Assignment: Assignment or sub -letting of the leased property Linder this agreement shall be
subject to the approval of the Airport Board or its successors, and must be obtained in
wnting.
12. Indemaification: -
Lessee hereby indemnifies and holds the Lessors, and all of Lessoxs's
agents, harmless from and against a11 liability for injuries to persons or property caused
wholly or in part by use or the leasedproperly.
13. Remedies UponBreach.*. Upon breach by either party in any of the obligations created by
this agreement, and failure to cure said breach within thirty (30) days after written notice xs
given, the non -breaching party may terminate this agreement and pursue such other remedies
as maybe available at law. The breaching party shall be, and agrees to be responsible for the
attorney fees, and all other costs associated with said breach., and no refund or credit shall be

14. Modification ofLease.- Any modification of
this agreement must be inwrit
by all paries hereto, ing, and signed
except as is stated herein., the rental fee, d all rules, regulations,
policies and procedures may, from time to time be modified by the Airport Board.

August, 2006.
