This agreement made this day of _ 2003, by
Satterfield and Kelm hereinafter'referred to as PARCEL OWNER A, and
Troy and Son a Lee hereinafter .referred to as PARCEL OWNER B;
WITNESSETH -
That in consideration of the following encunibrances that the owner of parcel A, as
described in Exhibit 1, and the owners of parcel B as described in Exhibit 2, hereby grant
to each other, the parties hereby agree as follows:
That PARCEL OWNER A and PARCEL OWNER B hereby grant to each other,
their successors and assigns, guests and invitees, a perpetual easement and right-of-way
for ingress and egress and for parking according to the attached parking layout as
described in Exhibit 3, with the following limitations that the guests and tenants of
PARCEL B shall only use the parking stalls that are shown in exhibit A which are dross
hatched in red and the guests and tenants of PARCEL A shall only use the parking stalls
that are not cress hatched in red.
That the owners, their successors and assigns, guests and invitees, take the
premises subject to the above described easement and right-of-way and nights of other
along said rigb.t-of way.
That this grant and casement shall, at all times, be deemed to be a continuing
easement running with the land and shall be binding upon the heirs successors and/or
assigns of the parties herein.
It shall be the obligation of the owner of each parcel, their heirs, and successors
and/or assigns to repai-t and/or maintain their gown parcel including cleaning and
maintenance of the parking improvelents that correspond to each owner's parcel. If the
owners elect to engage in cooperative activities relating to repair/or maintenance of the
parking itap.rovements, them the cost of such activity will be divided based upon a
prorated share corresponding to the ownership of the area being serviced.
IN WITNESS WHEREOF, The parties hereto have caused their hands to be
hereunto fixed, wand these presents to be signed as of the day and year first above
written.
