CORPORATE WARRANTY DEED
Cenex/Land O'Lakes Agronomy Company, a Minnesota corporation, of 5500 Cenex
Drive, Inver Grove Heights, Minnesota 55077, as GRANTOR, for a good and valuable
consideration, the receipt of which is hereby acknowledged, does hereby grant, bargain, sell and
convey unto Valley Wide Cooperative Inc., an Idaho cooperative marketing association, of 101
East Main, Rexburg, Idaho 83440, as GRANTEE, and GRANTEE's successors and assigns
forever, all of the following described real property situated in Madison County, Idaho, and more
fully described on EXHIBIT "A" attached hereto and made a part hereof:

To have and to hold the above granted and bargained real property together with all water
rights appurtenant thereto and the hereditaments and appurtenances belonging thereto free and
clear from all encumbrances whatsoever EXCEPT: (1) any lien for taxes not yet due or payable
and all assessments from and after the date of this instrument, pro -rated on a calendar year basis
which GRANTEE assumes and agrees to pay, and (2) restrictions, easements, right-of-ways and
conditions of record.
And the GRANTOR, for itself, its successors and assigns, does hereby covenant, warrant
and shall defend the quiet and peaceable possession of said real property by GRANTEE, its
successors and assigns, forever against the lawful claims"of all persons except as set forth
hereinabove.
The undersigned person executing this Deed on behalPof GRANTOR represents and certifies
that he/she is a duly authorized agentlofficer of Grantor and has been fully empowered, by
GRANTOR in accordance with the Bylaws of the GRANTOR, to execute and deliver this Deed;
that GRANTOR has full corporate capacity to convey the real estate described herein; and that
all necessary corporate action for the making of such conveyance has been taken and done.

TRACT 1:
Beginning at the Northeast Comer of Lot 3, Section 1, Township 5 North, Range 39 East, Boise
Meridian, Madison County, Idaho; and naming thence South 89"53'15" West 294.13 feet along
the Section line to the East right-of-way line of Highways 191 and 20; thence Southwesterly
around the East edge of the highway right-of-way following a 20,345.05 foot radius curve right
1300 feet, more or less; thence South 188.41 feet to the West edge of the Union Pacific Railroad
right -0f --way; thence North 30'08'14" East 1596.58 feet along the West edge of the railroad
right-of-way to a point on the North-South '/, Section line; thence North 22.65 feet to the point of
beginning.
LESS that portion of the above described property lying South of the South Lot line of said
Lot 3.
TRACT 2:
Portion of Lot 3 and Northeast Quarter of the Southwest Quarter of Section 1, Township 5 North,
Range 39 East, Boise Meridian, Madison County, Idaho, described more particularly as:
Beginning at a point that is South 1215.01 feet and West 801.60 feet from the Northeast Comer
of Lot 3, Section 1, Township 5 North, Range 39 East, Boise Meridian, Madison County, Idaho;
and running thence South 25°14'21" West 140.71 feet along the East right-of-way of U.S.
Highway 191-20 to a State Highway right-of-way monument, thence South 00°08'31" West
164.42 feet along the East right-of-way of said Highway to a State Highway right-of-way
monument, which marks the point of intersection of the Union Pacific Railroad and U.S.
Highway 191-20 right-of-ways, thence North 30°19' 13" East 119-66 feet along the West railroad
right-of-way, thence North 30°08' 14" East 64.59 feet along the West railroad right-of-way to the
North line of the Southwest Quarter of Section 1, thence South 89°59'09" West 32.43 feet,
thence North 144.18 feet to the point of beginning.
The above property is subject to a 10.0 foot wide easement adjacent and contiguous to the East
right-of-way line of U.S. Highways 191 and 20 Project No. F-6471(41).
