WHEREAS, the Idaho Transportation Department hereafter called the STATE, has
submitted an Agreement stating obligations of the STATE, and the CITY OF REXBURG,
hereafter called the CITY, for traffic signal improvements on SH-33; and
WHEREAS, the STATE is responsible for obtaining compliance with laws, standards,
and procedural policies in the development, construction and maintenance of improvements
made to the Federal -aid Highway System when there is federal participation in the costs; and
WHEREAS, the parties have agreed to participate equally in the costs of such
improvements; and
NOW, THEREFORE, BE IT RESOLVED:
1. That the Agreement for State Highway Project A011(975) is hereby approved.
2. That the Mayor and the City Clerk are hereby authorized to execute the Agreement on
behalf of the CITY.
3. That duly certified copies of the Resolution shall be furnished to the Idaho Transportation
Department.

PARTIES
This Agreement is made and entered into this --71 day of y L'�` ' tilt Cyr
2009, by and between the IDAHO TRANSPORTATION DEPARTMENT, hereafter called
the State, and the CITY OF REXBURG, hereafter called the City.
PURPOSE
The State has programmed a project to provide funding to the City for signal
improvements on the SH-33 corridor within the City limits. This Agreement will set out the
terms for funding, construction, and maintenance of any signal improvements on SH-33.
Authority for this Agreement is established by Section 40-317, Idaho Code.

SECTION I. 7 `iat the State will:
Review and approval project submittals, including plans, specifications, proposals,
3,id any change orders that may occur during construction of signal improvements
on SH-33.
2. Authorize the City to administer the work.
Process requests for re-imbursement of costs incurred by the City related to design
and construction of the signal improvements. The State will reimburse fifty (50)
percent of all costs related to the signal improvements, up to a maximum of Five
Hundred Thousand Dollars ($500,000). No additional funds will be available for
this work.
4. Hold harmless, defend, and indemnify City, its officers, agents, and employees from
and against all claims, losses, actions or judgments for damages or injury to persons
or property arising out of or in connection with any activities of State, State's agents,
employees, or representatives under this Agreement.

SECTION II. That the City will:
Provide opportunity to the State to comment on all signal improvement projects
on SH-33 prior to beginning development of those projects.
2. Provide for the design of and award contracts for construction of the signal
improvements on SH-33.
3. Submit all plans, specifications, proposals, and any change orders that may occur
during construction of signal improvements on SH-33 to the State for review and
approval.
4. Provide an environmental document and right-of-way certificate for each
intersection on which work is to be performed.
Following completion of work submit an itemized statement to the State for such
work requesting reimbursement of fifty (50) percent of such costs.
6. Maintenance responsibilities for all signals on SH-33 shall be in accordance with
the Cooperative Signal Maintenance Agreement for the City of Rexburg dated
May 4, 1983, or as subsequently modified by mutual consent.
SECTION III. General:
The City shall assume ownership of any new traffic signal to be installed on SH-33,
with the exception of the controller and cabinet, the ownership of which shall be
retained by the State.
2. This Agreement shall become effective on the first date mentioned above, and
shall remain in full force and effect until amended or replaced upon the mutual
consent of the State and the City.

EXECUTION
This Agreement is executed for the State by its Assistant Chief Engineer, and executed for
the City by the Mayor, attested to by the City Clerk, with the corporate seal of the city of Rexburg.
